Terms of Service

1. Acceptance of Terms

By accessing or using the Privos application, API, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Description of Service

Privos is a self-custody DeFi wallet interface that enables users and AI agents to interact with the Aave V3 lending protocol on Arbitrum One. The Service provides:

  • • Wallet management via ERC-4337 account abstraction
  • • Transaction building for Aave V3 (supply, borrow, repay, withdraw)
  • • Agent delegation key management and spending policies
  • • MCP server for AI agent integration
  • • Cross-chain bridging between Base and Arbitrum
  • • x402 payment protocol for machine-to-machine commerce

3. Self-Custody Disclaimer

Privos is a non-custodial service. You retain full control and ownership of your digital assets at all times. We do not hold, manage, or have access to your private keys or funds. You are solely responsible for the security of your wallet credentials and any transactions you authorize.

4. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are not subject to sanctions or otherwise designated on any list of prohibited or restricted parties. The Service is not available to residents of jurisdictions where DeFi services are prohibited.

5. Agent Delegation

When you create an agent delegation key, you authorize the holder of that key to perform operations on your behalf within the scope and limits you define. You are responsible for:

  • • Keeping your agent keys secure and not sharing them beyond intended agents
  • • Configuring appropriate spending policies and limits
  • • Revoking keys when they are no longer needed
  • • Monitoring agent activity through the execution history

You acknowledge that operations performed with valid agent keys are treated as authorized by you, even if performed by an AI agent.

6. DeFi Risk Acknowledgment

You acknowledge and accept the inherent risks of decentralized finance, including but not limited to:

  • • Smart contract risk: Aave V3 and other protocols may contain bugs or vulnerabilities
  • • Liquidation risk: Borrowed positions may be liquidated if health factor drops below 1.0
  • • Market risk: Asset prices are volatile and may result in loss of value
  • • Bridge risk: Cross-chain operations carry additional smart contract and timing risks
  • • Gas risk: Network congestion may affect transaction execution
  • • Oracle risk: Price feeds may be delayed or inaccurate

7. Autonomous Execution

The autonomous execution feature (auto-repay, auto-rebalance, auto-compound) operates based on predefined rules and spending policies. While designed to protect your positions, autonomous actions:

  • • May execute at suboptimal times due to market conditions
  • • Are subject to the same smart contract and network risks
  • • Can be paused or resumed at any time through the API
  • • Are logged and auditable through the execution history

8. x402 Payments

Payments made via the x402 protocol (USDC on Arbitrum) for premium API endpoints are non-refundable. Payment receipts are single-use. Pricing may change at any time with notice posted to the pricing endpoint.

9. Prohibited Uses

You may not:

  • • Use the Service for money laundering or terrorist financing
  • • Attempt to exploit, attack, or manipulate the Service or underlying protocols
  • • Use the Service to circumvent sanctions or other legal restrictions
  • • Abuse rate limits or attempt denial-of-service attacks
  • • Forge webhook signatures or tamper with HMAC verification

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIVOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. THIS INCLUDES LOSSES RESULTING FROM LIQUIDATIONS, MARKET MOVEMENTS, SMART CONTRACT FAILURES, OR AGENT-INITIATED TRANSACTIONS.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. WE ARE NOT FINANCIAL ADVISORS AND DO NOT PROVIDE INVESTMENT ADVICE.

12. Indemnification

You agree to indemnify and hold harmless Privos and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Service or email. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration.
